Services / Vendor technical due diligence & readiness

Robotics / medical devices / industrial automation

Prepare your technology for investor and buyer review.

Find gaps in technical claims, testing and documentation while there is time to address them.

Plays Research helps technology companies and research spin-outs prepare technical evidence for funding, sale and partnership review. Work can range from a focused readiness assessment to continuing support through external diligence.

The decision

Make the evidence easier to examine.

For technology companies and research spin-outs preparing for funding, sale or partnership.

Investors and buyers need to trace a product claim to the work that supports it. A readiness review checks that traceability, identifies inconsistencies between the technology and the proposed plan, and helps management prioritize the engineering and documentation work that matters.

Key questions

  • Can the company substantiate its main performance and development claims?
  • Are the product, tests, roadmap and investor materials consistent?
  • What should be resolved, documented or explained before external review?

The work

Assess the available materials and organize the technical review package. Vendor technical due diligence and technical readiness can cover software, hardware, manufacturing dependencies and evidence needed for planned regulatory milestones.

THE OUTPUT

An evidence-gap action plan or a seller-commissioned technical due diligence memo, depending on scope. The intended readers and any permitted third-party reliance are agreed for each engagement. Support can continue as the company closes gaps and responds to investor or buyer questions.

What the review produces

  • Claim-to-evidence index. The main product claims, the records that support them and any limits on what those records establish.
  • Evidence-gap action plan. Missing tests or documentation, proposed priorities and responsibilities, and what should be ready before external review.
  • Seller-commissioned diligence memo, where scoped. A deeper assessment of the claims and records, with findings, limitations and implications for the intended review.

The specific work products are agreed against the questions and available records.

Working with evidence

Materials, findings and the next step.

Materials the review may use

  • Product claims used in investor or buyer materials
  • Design records, test plans, results and known limitations
  • Software and hardware architecture and development dependencies
  • Milestones, resource plans and the technical data-room index

Questions the findings should answer

  • Which claims are ready for external scrutiny?
  • Which evidence gaps should be closed first?
  • Who owns the work, and what must be ready for the review?

Illustrative readiness question

Is the 99% detection claim ready for buyer review?

Illustrative example – not a client case. A company's investor materials state that its inspection system detects 99% of defects. The supporting file is one validation run on a single product line; the engineering team selected the defect samples, and the run did not report how often good parts were rejected.

Before buyer review, the readiness assessment maps the claim to that evidence, records what it does and does not establish, and defines the additional test: representative lines, a blind mix of good and defective parts, both missed-defect and false-reject rates, agreed acceptance thresholds and a named owner. The company can then run the test before opening the data room, or qualify the claim.

Practical questions

A scope that fits the decision.

How do readiness and vendor technical due diligence differ?

A readiness assessment identifies gaps to address before external review. A seller-commissioned technical due diligence review examines the technical claims and supporting records in greater depth. Deliverables follow the agreed scope, and the engagement specifies the intended readers and whether, and on what terms, third parties may rely on the findings.

Do you prepare the technical data room?

The scope can include organizing technical review materials and a claim-to-evidence index. The work also identifies gaps that require engineering action, additional tests or clearer explanations.

Can support continue during the external review?

Yes. An agreed advisory scope can support evidence updates and responses to technical questions as the company works through findings. Priorities, responsibilities and availability are agreed in advance.
